FlexLink Communications, based on the principles of honesty, integrity, and transparency, engages in business activities with continuous efforts to operate responsibly and achieve sustainable development goals. To enhance employee ethical standards and actively prevent unethical behavior, the company has established this code of conduct in alignment with the company’s integrity management guidelines and code of behavior.
2. Scope of Application
This policy applies to all employees of the company.
3. Guidelines
(1) Employee Guidelines
The company will comply with the laws, regulations, and rules of the Republic of China (Taiwan) related to the company and its employees.
Employees must not engage in illegal activities or participate in unlawful actions during working hours. Any violation of laws should be reported immediately to the relevant department within the company.
Every employee must be familiar with the regulations and limitations related to their job. The Administrative Management Department provides services related to work matters, and employees are encouraged to inquire if needed.
Employees should avoid developing personal relationships with individuals, companies, or businesses that the company is about to engage with, to prevent conflicts of interest between personal and company interests.
Employees who violate this code will be subject to legal actions based on relevant laws and regulations.
(2) Customer Relationships
Employees should follow laws and the company’s regulations and conduct themselves with honesty, firmness, and professionalism when dealing with customers and suppliers.
If an employee identifies illegal or unethical behavior in a business partner, they should immediately cease business dealings with that party.
Employees must not offer, accept, promise, or request any improper benefits, either directly or indirectly, during business transactions in order to gain or maintain personal benefits, or engage in actions that violate integrity or legal obligations.
The company has no bias or conflicts of interest in relation to customers and will not allow any personal or organizational relationship to affect the employee’s objectivity and independent judgment when performing duties.
In exceptional circumstances, the company or a client may need to sign a contract with an employee or their affiliated company. In such cases, the employee must proactively report to the CEO and obtain approval.
Employees who discover unethical behavior by business partners must gather evidence and report it to higher management to determine whether to continue the business relationship. If the unethical behavior involves public interest, it should be immediately reported to the CEO.
(3) Benefits and Interests
Improper benefits refer to any form or name of improper gifts, commissions, positions, privileges, kickbacks, facilitation fees, or any form of hospitality in special places.
Employees may accept gifts that are ceremonial or in line with social etiquette, provided they are not solicited, do not influence specific rights and obligations, and are occasional. The value should not exceed NT$2,000. Employees and their supervisors can decide whether to accept or return gifts or transfer them to general affairs for charitable donations on behalf of the company.
If a gift comes from a party that is involved in a contract or business dealings with the company, the employee must report it to their supervisor within three days and return the gift if refused.
Employees are not restricted from giving gifts to maintain legitimate business relationships.
Employees should avoid using their position within the company to gain improper benefits for themselves, their spouses, parents, children, or others.
(4) Confidential Information
Internal company information related to business, financial, technical, or similar matters is considered company trade secrets, and employees have an obligation to keep this information confidential. Employees must not disclose it externally. If there is any doubt, employees should contact their immediate supervisor, legal department, or HR department. Even after leaving the company, employees are still bound by confidentiality and must not use trade secrets for illegal competition.
All commercial activities should be conducted with integrity, and employees should not use company information or their position to acquire business secrets for personal benefit.
External collaborators or business partners must sign a confidentiality agreement with the company to ensure that they do not disclose the company’s trade secrets or other important information without permission.
(5) Conduct and Behavior
Employees are prohibited from consuming alcohol or being under the influence of alcohol during work hours.
The company strictly prohibits employees from using illegal drugs, including marijuana, cocaine, opiates, amphetamines, or any controlled substances.
Employees are not allowed to possess firearms or any dangerous weapons such as knives, ammunition, or other weapons on company premises or when representing the company.
Employees must not threaten, intimidate, coerce, use inappropriate language, or display disrespectful behavior toward colleagues, customers, or others at the workplace or in professional settings.
Employees must not spread false, erroneous, or malicious statements about the company, colleagues, or customers.
(6) Communication Channels
The company encourages open communication. Employees are encouraged to report any questions, concerns, or violations of this code, such as unfair treatment or violations in the workplace, to management or HR.
Reports of illegal activities will be handled confidentially, and those involved in the investigation will be protected.
Supervisors or relevant units who are aware of violations of this code but fail to act will also be considered in violation of this code and will be subject to disciplinary action.
